Terms of Service

Definitions
Words of which the initial letter is capitalized have meanings defined under the following
conditions. The following definitions shall have the same meaning regardless of whether they
appear in singular or in plural.
- Site refers to any website owned by BoostBytes, including but not limited to:
- boostbytes.net
- auran.nl
- auran.io
- Service refers to any software program owned by BoostBytes, including but not limited
to:
- Auran
- Product refers to a Site or Service or both.
- User (or “The User”) means the individual (person, company, or other legal entity)
accessing or using a Site or Service.
- Terms mean these Terms and Conditions that form an agreement between the User and
BoostBytes regarding the use of Products.
- Account means an account under the name of a User in relation to a Service
subscribed to by the User.
- Customer refers to the User that owns an Account.
- Password means a key used to get access to an Account.
- Data means recorded information, regardless of the form or the media on which it may
be recorded. Data includes, but is not limited to, information generated by a User,
generated by BoostBytes employees, or generated by a Service, and can be displayed
or published on a Product.
- Workspace means a digital collection of Data shared between one or more Accounts
within a Service.
- Credit means a token that grants an Account within a Workspace access to perform an
action, further specified by the specific type of Credit, whereafter a Credit is deducted
from their balance.

1. Sites and Services
These Terms apply to all Products owned by BoostBytes, and are an agreement between the
User and Boostbytes regarding the use of all Products.
1.1 Access
Access to Products may be temporarily suspended due to system errors, maintenance windows
or for any reason beyond our control. Further, we may suspend or terminate access to or use of
a Product at our sole discretion and without prior notice to the User if the User violates any of
these Terms. Upon Workspace termination on a Service all associated Accounts will lose their
Access to the related Service. The User acknowledges that BoostBytes is not liable for any
losses or damages, including loss of their content, resulting from the suspension or termination
of their access to or use of the Product. The User is responsible for maintaining their own
functional internet connection of sufficient speed with access to the Products. BoostBytes is not
responsible for any outages, slow connection speeds, or lost productivity caused by the internet
connectivity of the user.
1.2 Specific Terms
There can be more specific Terms for a specific Product the presence of more specific Terms
does not invalidate these general Terms, they amend each other. In case a clause in the more
specific Terms conflict with these general Terms in this document, the clause in the more
specific Terms takes precedence.

2. Payments
BoostBytes will invoice the Account for any contractually binding services using the agreed
upon price at purchase, plus value added tax (Dutch BTW). The invoices must be paid using the
agreed upon means of payment, and the Customer is obligated to comply with the terms and
conditions of any used payment service.
2.1. Subscriptions
Subscriptions are contracts between the Customer and BoostBytes to purchase a product on a
recurring basis, referred to as a billing cycle. Billing cycles are one month long unless specified
otherwise. Subscriptions are recurring indefinitely unless stated otherwise at the start of a
subscription or canceled by BoostBytes or the Customer as defined in 2.5.
The billing date is on the starting day of the subscription and on the same day every billing cycle
after that. BoostBytes is authorized to automatically charge for the price of the products in the
subscription on the billing date via the agreed upon payment method.
2.2 Subscription fee changes
BoostBytes retains the right to change the prices of subscriptions previously agreed upon. The
Customer will be provided with at least 30 days prior notice, by form of an email to their
specified address, before their next billing cycle at the changed rate, the Customer automatically
agrees with the changes if they continue to use the product after the date specified in the
notification. In case the price increases to above their initially agreed upon rate, the Customer
has the right to withdraw from any contract or subscription without a penalty.
2.3 Subscription Cancellation
Subscriptions can be canceled at any time by the Customer, unless specified at the start of the
subscription. In case of cancellation, the next billing cycle(s) will not be charged, no Products
will get delivered, and no refunds will be provided for the previous billing cycles. BoostBytes
reserves the right to terminate or cancel subscriptions at any time before the next billing cycle.
2.4 Refunds
No refunds are provided unless required by law, or where defined in these Terms.
2.5 Late payments
Payments should be made by the invoice date, specified on the invoice or on the Service. Until
the payment is received by BoostBytes, BoostBytes will not be required to deliver or start
delivering or grant access to any Products or Credits for which the payment is due.
If payment is not received 3 (three) business days after the invoice date, BoostBytes reserves
the rights to terminate the associated Accounts, Workspaces, contracts and subscriptions. If
BoostBytes permits the Customer to make a late payment, we retain the right to charge interest
for the late payment, beginning on the due date.
2.6 Credits
Credits grant access, they do not grant rights, the User or Account is not guaranteed to
anything. BoostBytes reserves the right to invalidate credits for breach of these Terms. Credits
may expire after a set time period after which they are no longer available to use or spend. In
the case of Workspace termination by BoostBytes, any remaining Credits will be refunded at the
rate they were purchased at or transferred to another Workspace, upon request within 6 (six)
months of termination. In case of Workspace termination at the request of a Customer, it is up to
the discretion of BoostBytes to provide a refund, a transfer, or to delete the leftover Credits.
Credits left over for longer than 6 (six) months after a Workspace termination will be deleted
without compensation.

3. Accounts
3.1 Responsibility
The User is responsible for all interactions and use on the Products. The User is responsible for
all (including any unauthorized) interactions and use on the Products made by anyone logged in
on their Account. The User assures BoostBytes that they will not use the Products to infringe
anyone’s rights or violate any law.
The User is solely responsible for maintaining access to their own Workspace(s). The User can
add or remove Accounts to/from their Workspace if they have the appropriate role to do so, all
actions of added Accounts are seen as actions sanctioned by the User that added the Account
and gave their authorization through the roles assigned. This includes, but is not limited to, the
usage of Credits, modifying other Account roles, messaging, data theft, malicious use, etc.
BoostBytes takes no liability in the event of a breach of access or “hacking” due to
mismanagement of these Accounts.
3.2 Security
The User is solely responsible for keeping their Account and Password confidential and secure.
3.3 Accuracy
The User agrees to provide accurate information for their Account and not to (attempt to)
impersonate anyone.
3.4 Termination
BoostBytes reserves the rights to terminate any Account without prior notice or liability, for any
reason whatsoever, including without limitation the breach of these Terms. BoostBytes reserves
these same rights for the termination of associated Workspaces.

4. Usage Limitations
The User will not, will not attempt, and will not permit any third party, to use the Products for:
- time sharing or service bureau purposes (including without limitation: sublicensing,
distributing, selling, or reselling);
- any purpose other than internal use;
- any purpose that would break any applicable laws and regulations;
- In particular the laws and regulations of the Netherlands and whichever country
the User is located in.
- any purpose other than authorized in these Terms;
The User will also not, and will not permit any third party, to use the Products in any manner that
would enable a third party unauthorized access to any of BoostBytes’ Services or its Data.

5. Data
5.1 Confidentiality
The User will not share information obtained from BoostBytes’ Services with third parties unless
otherwise agreed upon with BoostBytes. The User is responsible for the safe handling of any
data they may obtain from Products, including respecting the rights of any personal information
under the local privacy laws of The Netherlands (AVG) and whichever country the User is in.
5.2 Ownership of Intellectual Property
The Sites, Services, and their respective content (hereafter referred to as “the Content”),
including without limitation the logos, icons, infographics and photos, are protected under
intellectual property law. The Content is owned by BoostBytes and other companies. Any partial
or full reproduction or representation of the Content by any process whatsoever, for any
purposes whatsoever, is prohibited without the written consent of BoostBytes.
5.3 Ownership of Data
BoostBytes owns all Data, and is allowed to keep any Data any User deletes within the
Products indefinitely, unless otherwise required by law. Deleting an Account or Workspace does
not delete associated Data or Data generated by the Account or Accounts in the Workspace.
BoostBytes reserves the rights to modify or delete any Data it deems necessary, without further
notification or authorization.

6. Links to Other Websites
The Products may contain links to third party web sites or services that are not owned or
controlled by BoostBytes.
BoostBytes has no control over, and assumes no responsibility for, the content, privacy policies,
or practices of any third party web sites or services. The User further acknowledges and agrees
that BoostBytes shall not be responsible or liable, directly or indirectly, for any damage or loss
caused or alleged to be caused by or in connection with the use of or reliance on any such
content, goods, or services available on or through any such web sites or services.

7. Liability and Warranty
TO THE FULLEST EXTENT PERMITTED BY LAW, BoostBytes AND ITS AFFILIATES WILL
NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL
DAMAGES, HOWEVER CAUSED, ARISING FROM THE USE OF THE SITE OR THE USE OR
PURCHASE OF THE SERVICES. BoostBytes’ AGGREGATE LIABILITY FOR DIRECT
DAMAGES UNDER THESE TERMS WILL NOT EXCEED THE PAYMENT RECEIVED BY
BoostBytes FOR ANY PURCHASES RELATED TO THE DAMAGES. SOME JURISDICTIONS
DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL
DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.
The User assures BoostBytes that they will not use the Products to infringe anyone’s rights or
violate any law. The User agrees to indemnify and hold BoostBytes harmless for any liability or
claim that results from their participation in the Services, to the extent permitted by applicable
law. BoostBytes provides the Products “as is.” To the extent permitted by applicable law,
BoostBytes specifically disclaims any legal guarantees or warranties such as “merchantability,”
“fitness for a particular purpose,” “non-infringement,” and warranties arising out of a course of
dealing, usage, or trade.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be
limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain
in full force and effect and enforceable.
The Terms, and agreements and any disputes or claims arising out of or in connection with
them, are subject to the laws of The Netherlands.

8. Changes
BoostBytes reserves the right to change these Terms, when doing so it will notify the Users at
least 30 days prior to these changes going into effect. If a User continues to use Products after
the date on which the changed Terms take effect, they automatically agree with the new Terms.
